THIRD-PARTY ADVERTISING PLATFORM ADDENDUM
Effective as of 25 June 2026
Rockads Services may involve the use of third-party Advertising Platforms, including but not limited to Meta, Google, TikTok, Snapchat, Pinterest and Microsoft (collectively, the “Advertising Platforms”). The User acknowledges and agrees that Advertising Platforms may from time to time introduce, amend, increase, decrease, replace, suspend or remove additional fees, surcharges, levies, regulatory charges, location-based fees, digital services tax-related charges, jurisdiction-specific fees or similar charges (collectively, the “Third-Party Platform Fees”).
Without limiting the generality of the foregoing, to be effective as of 01.07.2026, Meta has announced the implementation of certain location-based advertising fees applicable to advertisements delivered to users located in certain jurisdictions. The User acknowledges and agrees that the jurisdictions, rates, fee structures, calculation methodologies, reporting practices and implementation rules published by Meta may be amended, expanded, reduced, replaced, suspended or withdrawn by Meta from time to time. Rockads has no control over such changes and shall not be responsible for any modification made by Meta or any other Advertising Platform.
Third-Party Platform Fees may be calculated by the relevant Advertising Platform based on factors including, without limitation:
The User agrees that all Third-Party Platform Fees shall be borne exclusively by the User and may be charged, deducted, reserved, withheld, offset, reconciled or otherwise reflected by Rockads through the User Account, Credit Account, available balance, total balance, invoice, statement or any other billing mechanism used by Rockads.

The above rates are provided solely for illustrative and informational purposes and do not constitute a representation, warranty or commitment by Rockads regarding any current or future fee applicable to any jurisdiction. The actual fees, jurisdictions, calculation methodologies and reporting rules applicable at any given time shall be those determined by the relevant Advertising Platform.
The User further acknowledges and agrees that similar fees may be introduced by other Advertising Platforms in the future and that Rockads may update its operational processes, temporary hold percentages, reserve methodologies and reconciliation mechanisms accordingly.
Temporary Hold & Real-Time Settlement Mechanism
To address actual, estimated or potential Third-Party Platform Fees, Rockads may apply a provisional reserve, temporary hold or withholding amount to the User's account balance, available balance, advertising budget transfer amount or any other relevant amount.
As of the Effective Date of this Addendum, Rockads generally applies a temporary hold of up to five percent (5%) in connection with certain Third-Party Platform Fees. The User acknowledges and agrees that such percentage is indicative only and may be increased, decreased, replaced, removed or otherwise modified by Rockads from time to time to reflect changes introduced by Advertising Platforms, applicable fee rates, covered jurisdictions, billing methodologies, reconciliation requirements, operational considerations or risk exposure.
Any temporary hold, reserve or withholding amount shall not constitute a final fee deduction and shall remain provisional until the relevant Third-Party Platform Fees are calculated, reported, invoiced, settled or reconciled.
As advertising spend is reported by the relevant Advertising Platform, Rockads may release all or part of the temporary hold and charge only the actual Third-Party Platform Fee attributable to the relevant advertising activity.

The above example is provided solely for illustrative purposes. Actual balances, holds, deductions, releases, fee percentages, jurisdictions and reconciliation outcomes may vary depending on the applicable Advertising Platform, advertising activity and fee methodology.
Reconciliation and Retrospective Adjustments
The User acknowledges that Third-Party Platform Fees are determined based on data received from Advertising Platforms and that such data may be delayed, incomplete, estimated, retroactively updated, corrected, reclassified or otherwise adjusted by the relevant Advertising Platform.
Accordingly, all Third-Party Platform Fee calculations performed by Rockads shall remain provisional until finally reconciled.
Rockads may perform daily, periodic, monthly or ad hoc reconciliation of Third-Party Platform Fees. Following such reconciliation, Rockads may automatically debit, credit, refund to account balance, reserve, offset or otherwise adjust any under-deducted, under-reserved, over-deducted or over-reserved amount.
The User further acknowledges that Third-Party Platform Fees may be reported, corrected, adjusted or reallocated by an Advertising Platform days, weeks or months after the relevant advertising activity has occurred. Rockads shall be entitled to pass through any such retrospective adjustments, corrections or reallocations to the User and to make corresponding balance adjustments at any time after receiving the relevant information.
If the User's available balance is insufficient to cover any amount becoming payable following reconciliation, adjustment or retrospective correction, such amount shall become immediately due and payable upon notice, invoice, statement or account notification issued by Rockads. Rockads may suspend, restrict or terminate the relevant Services until all outstanding amounts are fully settled.
Except in the case of manifest error, fraud or wilful misconduct by Rockads, the User shall not be entitled to challenge any temporary reserve, hold, reconciliation adjustment, fee allocation, retrospective correction, debit, credit, withholding or similar adjustment carried out pursuant to this Addendum.
Rockads' books, records, system logs, Credit Account records, invoices, Advertising Platform statements, reconciliation records and platform-reported data shall constitute the primary basis for calculating and reconciling Third-Party Platform Fees unless there is manifest error.
Rockads may amend, update or modify the mechanisms described in this Addendum from time to time in order to reflect changes introduced by Advertising Platforms, applicable laws, taxation requirements, billing practices, regulatory treatment, operational requirements or risk management considerations.
